Welcome to Eloquentsites Creative Agency! We are pleased to work with you if you’re already a client and look forward to working with you as our prospective client. Please carefully read the following Terms of Service (“Terms”) as they will be binding on all services we offer or will offer to you. By engaging with Eloquentsites Creative Agency, you agree to these Terms.
These terms of service constitute the entire agreement between the client and the Agency and supersede all prior understandings between the parties regarding the project.
Disclaimer
The Agency provides its services “as is” and “as available”. We make no warranties, express or implied, regarding the quality or performance of our services. We shall not be held liable for any indirect, special, incidental or consequential damages arising out of the use of our services.
Our Services
The Agency provides a range of digital marketing services, including but not limited to website design, social media management, search engine optimization (SEO), lead generation, email marketing, and content marketing.
Client Responsibilities
The client is responsible for providing all necessary content, images, company profile and other materials that are required for the Agency to complete their project UNLESS otherwise stated on the project proposal. The client is also responsible for ensuring that any content or materials provided to the Agency are not infringing on the intellectual property rights of any third party. The client agrees to fully indemnify the Agency for any and all claims arising out of the client’s breach of this responsibility.
Intellectual Property
Client retains ownership of intellectual property related to their content upon full payment of fees. Eloquentsites Creative Agency retains ownership of any templates, designs, or strategies developed for general use. Prior to full payment of fees, all intellectual property rights belong to the Agency. The client may not use any intellectual property owned by the Agency, including but not limited to trademarks and copyrighted material.
Fees and Payment
All fees for services will be agreed upon between the client and the Agency in writing before the start of services. A deposit of 70% of the total fee is required before the start of any project, with the remainder to be paid by the client not later than two (2) days after completion of the project. In the event that additional work is requested by the client that falls outside of the scope of the original agreement, the client will be notified of additional charges and must approve the additional charges before work will commence.
Failure to abide by the agreed-upon payment schedule may result in the suspension of services, termination of the agreement or withholding of account login details (where applicable).
Cancellation and Refunds
The client may cancel the project with the Agency at any point in time; however, any payment already made will not be refunded. In the case that the Agency is not able to complete a project due to unforeseen circumstances, the client will receive payment equal to the value of the work completed up until the point of cancellation.
In the event of cancellation of an ongoing management contract subscription, any payment made prior is not refundable provided the client initiated the cancellation.
Privacy and Security
Both the client and the Agency agree to keep the terms of their engagement confidential and not to disclose them to third parties, except to the extent required by law. Upon project completion and handover, the client assumes full responsibility for the security of accounts associated with the project such as login emails, passwords, etc.
Limitation of Liability
Eloquentsites Creative Agency is not liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services. Client agrees to indemnify and hold Eloquentsites Creative Agency harmless from any claims, damages, or losses arising from the use of our services or violation of these Terms.
Governing Law
These terms of service shall be governed by and construed in accordance with the laws of Lagos, Nigeria.
Modification
We may update these terms of service from time to time by posting a new version online. You should review these terms periodically to ensure that you are aware of any changes. Your continued use of our services indicates your agreement to these terms as updated.
